Stoic Vision (“we”/“our”) provides strategic political consultancy (“Services”) under contract, governed by Syrian laws. Clients (“you”) engage us by written agreement. All intellectual property remains with us unless expressly assigned. We disclaim all warranties and cap liability to the greater of our fees paid or €10,000. You indemnify us against third-party claims arising from your use of our Services. Disputes are governed by Syrian laws.

1. Acceptance of Terms

By clicking “I Agree,” accessing www.stoic-vision.com (“Site”), or instructing us to proceed with consultancy services (“Services”), you unconditionally accept these Terms and our Privacy Policy.

2. Scope & Engagement

A binding contract exists only upon our delivery of a written proposal accepted in writing by you. Any changes must be agreed in writing in advance

3. Fees & Payment

Fees are non-refundable, payable within 30 days of invoice at 8% p.a. above the Syrian Central Bank base rate. Non-payment entitles us to suspend Services immediately.

4. No Warranty; “As-Is”

THE SITE AND SERVICES ARE PROVIDED “AS-IS,” WITHOUT ANY WARRANTY WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT

5. No Reliance

You acknowledge that nothing on the Site or in our Deliverables constitutes legal, financial, or professional advice. You shall not rely on any information without independent verification

6. Limitation of Liability

  • 6.1 Liability Cap. OUR AGGREGATE LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED €1,000 IN THE AGGREGATE
  • 6.2 Excluded Damages. IN NO EVENT SHALL STOIC VISION BE LIABLE FOR ANY INDIRECT, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUES, OR BUSINESS INTERRUPTION
  • 6.3 No Third-Party Claims. LIABILITY TO THIRD PARTIES OR FOR THIRD-PARTY CLAIMS IS EXPRESSLY EXCLUDED

7. Indemnification & Insurance

You agree to indemnify, defend, and hold Stoic Vision and its affiliates harmless from any claim, loss, or expense (including legal fees) arising from your breach or use of our Deliverables ACM Claims . You shall maintain professional liability insurance covering at least €100,000 per claim

8. Force Majeure

Neither party is liable for any delay or failure due to causes beyond its reasonable control (e.g. acts of God, war, terrorism, pandemic, network failures). The affected party must notify the other within 10 days and use all reasonable efforts to resume performance promptly

9. Limitation Period

All claims must be brought within one (1) year after the claim accrues. Any action filed later is permanently barred.

10. Dispute Resolution & Class-Action Waiver

  • 10.1 Arbitration. ALL DISPUTES SHALL BE RESOLVED BY INDIVIDUAL, BINDING ARBITRATION IN DAMASCUS UNDER SYRIAN ARBITRATION LAW NO. 4/2008 .
  • 10.2 Class Waiver. YOU AND STOIC VISION WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS OR COLLECTIVE ACTION
  • 10.3 Opt-Out. You may opt out of arbitration within 30 days of first acceptance by sending written notice to contact@stoic-vision.com

11. Intellectual Property

All IP in our methodologies, Site content, and Deliverables remains Stoic Vision’s property. You receive only a limited, non-transferable licence for internal use upon full payment.

12. Confidentiality

Each party will keep all confidential information secure and not disclose it to third parties except as required by law. This survives termination.

13. Third-Party Links & Malware

We are not responsible for third-party sites, their content, or any malware they may introduce. Your use of such links is at your own risk.

14. Modification & Entire Agreement

We may change these Terms at any time by posting updates on the Site; material changes will be highlighted. Continued use constitutes acceptance. These Terms and any written proposal constitute the entire agreement and supersede all prior understandings.

15. Severability; Assignment

f any provision is held unenforceable, the remainder remains in force. You may not assign these Terms without our prior written consent.
